Terms of Service & Master Services Agreement

These Terms of Service & Master Services Agreement ("Terms") govern access to and use of all hosted APIs, software development kits (SDKs), Model Context Protocol (MCP) servers, and consoles operated by Calera Computing, Inc. ("Calera Labs", "we", "us", "our"), including FinanceSec, Infinite Context (ICX), and the Universal Dashboard (dashboard.caleralabs.com).

1. Services & License Grant

Subject to these Terms and active subscription standing, Calera Labs grants you a worldwide, non-exclusive, non-transferable, revocable license to access our hosted APIs, connect our MCP servers, and integrate our endpoints into your applications, models, autonomous agents, and enterprise workflows.

2. Subscription Billing, 1-Click Cancellation & Refund Policy

Transparent Billing & Self-Service Guarantee: Subscriptions are billed in advance on a recurring monthly or annual basis. You may cancel your subscription at any time with 1 click in your Universal Dashboard → Billing tab via the self-service Stripe Customer Portal.

Calera Computing, Inc. retains exclusive right, title, and interest in and to the Volumetric Lattice Network (VLN) substrate, algorithms, mathematics, software, documentation, trade secrets, trademarks, and any patents or patent applications covering them. Certain products and architectures are covered by pending patent applications listed at caleralabs.com/patents.

Anti-Distillation Restriction: You agree not to use the services, APIs, MCP tool responses, or memory projections to: (a) reverse-engineer, decompile, or extract the underlying volumetric lattice graph or geometric cognition algorithms; (b) train, fine-tune, or distill competing volumetric, lattice, or topological memory architectures; or (c) systematically scrape and republish raw lattice node graphs without prior written agreement.

When deploying autonomous agents, multi-agent swarms, or automated tool calling via Calera endpoints or MCP servers:

FinanceSec outputs deterministic facts extracted directly from SEC EDGAR filings and financial registries with verifiable provenance (filing accession numbers, XBRL concepts, and SHA-256 evidence hashes). Data is provided for informational, audit, and analytical workflows and does not constitute personalized investment advice, financial fiduciary counsel, or legal representation.

8. Engineering Availability Target & Support

Calera Labs targets 99.9% monthly uptime for paid production API endpoints. Current operational status is published at caleralabs.com/status.

9. Limitation of Liability & Governing Law

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, or consequential damages arising out of or related to these Terms. Calera Computing, Inc.'s total cumulative liability arising from or related to the services shall not exceed the total fees paid by you to Calera in the twelve (12) months preceding the incident.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved in state or federal courts located in Delaware.
